    Terms and Conditions

    1. Acceptance of Terms

    By creating an account on, accessing, or otherwise using GeoNexo AI ("GeoNexo," "we," "us," or "our") — including our website at geonexo.com, dashboard, APIs, and related services (collectively, the "Service") — you ("User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you must not access or use the Service. We reserve the right to update these Terms at any time. Continued use after changes are posted constitutes acceptance of the revised Terms.

    2. Description of Service

    GeoNexo AI is an AI Search Visibility platform. We analyze how large language models (LLMs) — including but not limited to ChatGPT, Google Gemini, Google AI Overviews, Microsoft Copilot, Perplexity, DeepSeek, and Grok — cite, mention, and perceive web content. We provide businesses with actionable data, AI-created content recommendations, competitor tracking, and publishing integrations to improve their presence in AI-created answers. The Service also includes an AI chat assistant, daily visibility reports, content creation tools (blog posts, FAQs, JSON-LD schema, social media posts), and third-party integrations for analytics and content distribution.

    3. Eligibility & Account Registration

    • You must be at least 18 years old to use the Service.
    • You must provide accurate and complete information when creating an account, including a valid email address.
    • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
    • You may authenticate via email/password or Google OAuth. By using Google OAuth, you authorize us to receive your basic profile information (name, email, profile picture) from Google.
    • You may not create multiple accounts to circumvent usage limits, abuse referral programs, or engage in fraudulent activity.
    • We reserve the right to suspend or terminate accounts that violate these Terms or are flagged for abuse.

    4. Credit System & Payments

    • GeoNexo AI operates on a credit-based system. Certain actions — including AI scans, content creation, and asset creation — consume credits.
    • New users receive a one-time allocation of free credits upon sign-up.
    • Additional credits may be purchased through our payment processor (Stripe). All purchases are final and non-refundable except as required by applicable law.
    • Subscription plans (e.g., Pro tier) provide recurring credit allocations and additional features. Subscription fees are billed in advance on a recurring basis.
    • You may cancel your subscription at any time through your Account settings or Stripe customer portal. Cancellation takes effect at the end of the current billing period.
    • We reserve the right to change credit costs, pricing, and plan features at any time. Material changes will be communicated via email or in-app notice.
    • Credits earned through referral programs are subject to the limits and conditions described in the referral program terms.
    • Unused credits do not expire unless your account is terminated.

    5. Acceptable Use

    • You may use the Service only for lawful purposes and in accordance with these Terms.
    • You may not use the Service to: (a) violate any law, regulation, or third-party right; (b) transmit malicious code, spam, or harmful content; (c) attempt to reverse-engineer, decompile, or disassemble any part of the Service; (d) scrape, crawl, or extract data from the Service except through provided APIs; (e) impersonate any person or entity; (f) interfere with or disrupt the Service or its infrastructure.
    • You retain ownership of the content you submit (e.g., website URLs, business information). By submitting content, you grant GeoNexo a non-exclusive, worldwide, royalty-free license to use, process, and display such content solely for the purpose of providing the Service.
    • Content generated by the Service (blog posts, social media posts, FAQ content, schema markup) is provided to you for your use. You are solely responsible for reviewing, editing, and publishing any generated content.

    6. Third-Party Integrations

    The Service integrates with third-party platforms including but not limited to: Google (Analytics, Search Console, Business Profile), LinkedIn, X (Twitter), Instagram, WordPress, Webflow, Ghost, and Stripe. When you connect a third-party account:

    • You authorize GeoNexo to access and interact with that platform on your behalf within the scope of permissions you grant.
    • OAuth connections are managed through Nango, a third-party OAuth provider. GeoNexo does not store your third-party passwords.
    • We are not responsible for the availability, accuracy, or policies of third-party platforms. Changes to third-party APIs or terms may affect Service functionality.
    • You may disconnect integrations at any time through the Integrations settings page.
    • Publishing content through integrations (e.g., posting to LinkedIn or X) is initiated by you. You are responsible for ensuring published content complies with the relevant platform's terms of service.

    7. Data Accuracy & AI Limitations

    • AI model responses are inherently dynamic, non-deterministic, and subject to change without notice. Visibility scores, sentiment analysis, citation tracking, and other metrics represent point-in-time snapshots and should be treated as directional guidance, not absolute measurements.
    • GeoNexo does not guarantee any specific outcome, ranking improvement, or business result from using the Service.
    • AI-generated content (blog posts, FAQs, social posts, schema markup) is produced algorithmically and may contain errors, inaccuracies, or content that requires human review before publication.
    • We do not control or influence how third-party AI models respond to queries. Changes in AI model behavior, training data, or policies may affect your visibility metrics at any time.
    • Competitor data and analytics are based on AI model outputs and may not reflect actual market conditions.

    8. Intellectual Property

    • The Service, including its software, design, branding, documentation, and proprietary algorithms, is owned by GeoNexo and protected by intellectual property laws.
    • You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during your active subscription or account.
    • You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse-engineer or attempt to extract the source code.
    • The GeoNexo name, logo, and related marks are trademarks of GeoNexo. You may not use them without prior written permission.

    9. Disclaimer of Warranties

    THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. GEONEXO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE SERVICE AT YOUR OWN RISK.

    10. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GEONEXO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS; (C) ANY THIRD-PARTY CONDUCT ON THE SERVICE; (D) ANY CONTENT OR DATA OBTAINED FROM THE SERVICE; (E) DATA BREACHES, SECURITY INCIDENTS, OR SYSTEM FAILURES; OR (F) ANY OTHER MATTER RELATING TO THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF GEONEXO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (I) THE AMOUNTS YOU HAVE PAID TO GEONEXO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS ($100).

    11. Indemnification

    You agree to indemnify, defend, and hold harmless GeoNexo, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property, privacy, or publicity rights; (d) any content you submit through the Service; or (e) content you publish through third-party integrations.

    12. Termination & Account Deletion

    • You may delete your account at any time through your Account settings. Account deletion is permanent and will result in the irreversible removal of your profile, projects, scan data, generated content, credit balance, and all associated information.
    • Upon account deletion, we will make commercially reasonable efforts to delete your personal data, except where retention is required by law or for legitimate business purposes (e.g., fraud prevention, financial records).
    • We may suspend or terminate your account immediately, without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to the Service or other users.
    • Active subscriptions will not be refunded upon termination for cause.

    13. Governing Law & Dispute Resolution

    These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in New York County, New York. You irrevocably consent to the jurisdiction of such courts. EACH PARTY WAIVES ITS RIGHT TO A JURY TRIAL IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS.

    14. Force Majeure

    GeoNexo shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemic, government action, power failure, internet disruption, third-party service outages (including AI model providers, cloud hosting, payment processors), cyberattacks, or other force majeure events.

    15. Severability & Waiver

    If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The failure of GeoNexo to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

    16. Entire Agreement

    These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and GeoNexo regarding the Service and supersede all prior agreements, understandings, and representations.
